1. Purpose, Scope, and Acceptance

These Master Terms of Use & Services Agreement (the “Terms”) govern access to and use of the Applied Signals website, applications, software, operational assessment tools, AI-powered services, voice and communications workflows, reports, dashboards, implementation services, consulting services, documentation, and related offerings (collectively, the “Services”). These Terms form a binding agreement between Applied Signals AI Inc. d/b/a Applied Signals (“Applied Signals,” “we,” “us,” or “our”) and the person or entity accessing or using the Services (“Customer,” “you,” or “your”).

By accessing the website, submitting a form, creating an account, signing or accepting an Order Form, using any Services, or otherwise indicating acceptance, you agree to these Terms. If you access or use the Services on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and references to “Customer” mean that entity.

If you do not agree to these Terms, do not access or use the Services. If you are entering into these Terms for a customer organization, you are responsible for ensuring that all Authorized Users comply with these Terms.

These Terms are designed for business use. The Services are not intended for personal, household, or consumer use, and they are not directed to minors.

2. Definitions

Affiliate: means any entity that directly or indirectly controls, is controlled by, or is under common control with a party.

AI Output: means content, analysis, scoring, recommendations, summaries, transcripts, classifications, predictions, reports, workflow suggestions, or other output generated, assisted, or enriched by artificial intelligence, machine learning, statistical models, rule-based logic, or related automated systems.

Applied Signals Materials: means the Services, software, platform, website, Documentation, methodologies, templates, scoring models, prompts, configurations, workflows, connectors, taxonomies, dashboards, designs, know-how, training materials, reports, and all related intellectual property owned or controlled by Applied Signals.

Authorized User: means an employee, contractor, agent, consultant, or other individual authorized by Customer to access the Services under Customer’s account.

Business Data: means operational, commercial, workflow, call, lead, scheduling, CRM, estimate, dispatch, staffing, financial, customer interaction, and other business information that Customer submits to or makes available through the Services.

Customer Data: means all data, files, content, records, communications, prompts, instructions, Business Data, Personal Data, and other information submitted to the Services by or on behalf of Customer, excluding Applied Signals Materials.

Documentation: means user guides, technical documentation, security materials, product descriptions, support articles, API documentation, training materials, and written instructions made available by Applied Signals.

Order Form: means an ordering document, subscription form, online checkout, statement of work, proposal, quote, or other transaction document that identifies Services, pricing, term, usage limits, or related commercial terms.

Operational Intelligence Assessment: means any assessment, audit, questionnaire, intake, scoring process, report, benchmark, analysis, or recommendation produced by or through Applied Signals for the purpose of evaluating operational performance, revenue leakage, responsiveness, customer experience, coordination maturity, workflow efficiency, or related business conditions.

Personal Data: means information relating to an identified or identifiable natural person, as defined by applicable privacy laws.

Professional Services: means implementation, configuration, consulting, onboarding, workflow design, integration, training, support, or other services performed by Applied Signals personnel or contractors.

Sensitive Data: means protected health information, full payment card numbers, government identifiers, precise geolocation, biometric identifiers, special categories of personal data, children’s data, or other information subject to heightened legal protection, except to the extent expressly authorized in writing by Applied Signals.

Services: has the meaning stated in Section 1 and includes all related modules, applications, websites, workflows, assessments, AI features, support, and Professional Services.

Third-Party Services: means third-party products, platforms, applications, networks, models, hosting providers, payment processors, communications carriers, CRM platforms, calendars, analytics tools, AI providers, or other services that interoperate with or support the Services.

3. Website Terms

The Applied Signals website is an informational, marketing, lead generation, customer education, and service access property. Website visitors may review content, submit forms, request demos, access assessments, download resources, schedule meetings, or interact with Applied Signals representatives.

Submitting a form, requesting a demo, completing an assessment, or providing contact information constitutes consent for Applied Signals to contact you regarding your inquiry, the Services, and related business communications, subject to applicable law and opt-out rights.

Website-specific provisions are included in Schedule A and apply in addition to the rest of these Terms. If a separate written customer agreement or Order Form governs paid Services, that document controls in the event of conflict with website-only terms, but these Terms continue to govern website access.

4. Accounts and Access

Certain Services may require an account. Customer is responsible for maintaining the confidentiality of login credentials and for all activity under its accounts. Customer must promptly notify Applied Signals of any suspected unauthorized access or credential compromise.

Customer will ensure that Authorized Users use the Services only for Customer’s internal business purposes and in accordance with these Terms, applicable Order Forms, Documentation, and applicable law. Applied Signals may require reasonable identity, access, or security verification before granting or restoring access.

Applied Signals may implement role-based access, administrator controls, multi-factor authentication, audit logs, and other security features. Customer is responsible for configuring available controls appropriately for its environment.

5. Services; Order Forms; Statements of Work

Services may be provided through one or more Order Forms, online purchases, proposals, statements of work, or other written transaction documents. Each Order Form is incorporated into these Terms. If an Order Form conflicts with these Terms, the Order Form controls solely for the specific Services and term covered by that Order Form.

Applied Signals may update, enhance, modify, or discontinue features from time to time, provided that Applied Signals will not materially reduce the core functionality of paid Services during an active subscription term without reasonable notice or commercially reasonable alternative functionality.

Customer acknowledges that Applied Signals may provide a hybrid model that includes SaaS, AI workflow automation, voice and communication tooling, implementation services, consulting, operational assessments, and ongoing optimization. These Terms are intended to cover all such modalities unless a separate signed agreement states otherwise.

6. Applied Signals Platform License

Subject to Customer’s compliance with these Terms and any applicable Order Form, Applied Signals grants Customer a limited, non-exclusive, non-transferable, non-sublicensable, revocable license during the applicable subscription term to access and use the Services solely for Customer’s internal business operations.

Customer may not copy, modify, reverse engineer, decompile, disassemble, scrape, benchmark for competitive purposes, resell, sublicense, host, or make the Services available to third parties except as expressly permitted in writing. No rights are granted except as expressly stated.

Applied Signals reserves all rights, title, and interest in the Services and Applied Signals Materials, including all improvements, derivatives, configurations, methods, scoring systems, models, taxonomies, prompts, workflow structures, and underlying technology.

7. Operational Intelligence Assessments

Operational Intelligence Assessments are designed to help businesses identify potential operational friction, revenue leakage, responsiveness gaps, customer experience issues, coordination breakdowns, workflow improvement opportunities, and AI implementation opportunities. They are decision-support tools, not guarantees or certifications.

Assessment results depend on information supplied by Customer, benchmark assumptions, model configuration, available data, and the quality of implementation. Customer is responsible for reviewing assessment results and determining whether and how to act on them.

Proprietary scores such as Coordination Quotient™, Revenue Unlock Potential™, Operational Coordination Potential™, Customer Experience Potential™, readiness scores, leakage scores, and related measures are Applied Signals methodologies. They are not accounting opinions, valuation opinions, industry certifications, legal determinations, or warranties of performance.

Revenue recovery estimates, ROI projections, payback periods, or similar financial values are estimates only. Actual results may vary materially based on demand, staffing, execution, adoption, data quality, market conditions, pricing, customer behavior, seasonality, economic conditions, and other factors outside Applied Signals’ control.

8. AI Services, AI Output, and Human Review

The Services may use artificial intelligence, machine learning, large language models, speech technologies, classification logic, statistical systems, workflow automation, and rule-based engines to generate or assist AI Output. AI Output may include narratives, recommendations, call summaries, scores, workflows, routing decisions, response suggestions, draft communications, operational insights, and report content.

Customer acknowledges that AI Output may be inaccurate, incomplete, biased, non-deterministic, outdated, or unsuitable for a particular use case. Customer must independently review AI Output before relying on it for material business decisions, communications, financial decisions, employment decisions, legal decisions, safety-critical decisions, or customer-impacting actions.

Applied Signals may use human review, validation flags, quality controls, testing, and governance processes to improve reliability, but no review process can eliminate all errors. If Customer identifies potentially inaccurate, unsafe, or inappropriate output, Customer should notify Applied Signals promptly.

Applied Signals does not provide legal, tax, accounting, employment, insurance, investment, medical, emergency, or regulated professional advice. The Services should not be used as a substitute for professional judgment or expert review.

9. Voice, Telephone, SMS, and Communications Features

The Services may include AI voice agents, call routing, call recording, transcription, SMS, email, voicemail, appointment scheduling, follow-up workflows, customer intake, and related communications features. Customer is responsible for ensuring that its use of communications features complies with all applicable laws, including call recording, consent, telemarketing, text messaging, privacy, consumer protection, industry-specific, and Do-Not-Call laws.

Customer represents that it has obtained and will maintain all consents, notices, authorizations, and legal bases necessary for Applied Signals and its providers to process calls, recordings, transcripts, messages, contact information, and customer communications on Customer’s behalf.

Where demo, sales, or website communications are initiated with Applied Signals, you consent to receive communications by telephone, SMS/MMS, email, voicemail, AI-generated voice, prerecorded message, automated system, or other lawful means at the contact information provided. Consent is not a condition of purchase. You may opt out of marketing communications by using unsubscribe instructions, replying STOP to text messages where supported, or contacting Applied Signals.

10. Customer Data; Ownership; Data Processing

As between the parties, Customer retains ownership of Customer Data. Applied Signals does not acquire ownership of Customer Data by virtue of receiving, hosting, processing, analyzing, or generating output from it.

Customer grants Applied Signals and its Affiliates, contractors, and subprocessors a limited, worldwide, non-exclusive right to host, copy, process, transmit, display, analyze, transform, and use Customer Data solely as necessary to provide, secure, support, improve, troubleshoot, and administer the Services; comply with law; enforce these Terms; and as otherwise permitted by these Terms or an Order Form.

Customer is responsible for the accuracy, quality, legality, integrity, and appropriateness of Customer Data. Customer will not submit Sensitive Data unless expressly authorized in writing and supported by appropriate safeguards.

Applied Signals will process Personal Data in accordance with the Privacy Policy and, where applicable, a Data Processing Addendum. If Customer requires a signed DPA, the parties will use the DPA framework in Schedule E or another mutually agreed form.

11. De-Identified Data, Benchmarking, and Product Improvement

Applied Signals may create and use de-identified, aggregated, anonymized, or statistical data derived from use of the Services for benchmarking, analytics, product improvement, model evaluation, security, research, industry insights, and business reporting, provided that such data does not identify Customer, Authorized Users, or Customer’s customers.

Applied Signals may generate industry benchmarks, best-practice insights, comparative metrics, and aggregated performance indicators from de-identified data. Applied Signals will not publicly identify Customer as the source of such data without permission.

Unless expressly authorized by Customer, Applied Signals will not use Customer’s identifiable operational data to train public AI models. Applied Signals may use Customer Data to provide and improve the Services for Customer, including quality assurance, evaluation, safety testing, configuration, and support, subject to confidentiality and privacy obligations.

12. Confidentiality

Each party may receive non-public information from the other that is marked confidential or that reasonably should be understood to be confidential given the nature of the information and circumstances of disclosure (“Confidential Information”). Customer Data, non-public pricing, business plans, technical information, security information, product roadmaps, and proprietary methodologies are Confidential Information.

The receiving party will use Confidential Information only to perform under these Terms, will protect it using at least reasonable care, and will not disclose it except to employees, contractors, advisors, Affiliates, and service providers who need to know it and are bound by confidentiality obligations.

Confidentiality obligations do not apply to information that is publicly available without breach, already known without restriction, independently developed without use of the disclosing party’s Confidential Information, or rightfully received from a third party without restriction. A receiving party may disclose Confidential Information if required by law, provided it gives notice where legally permitted and cooperates in seeking protective treatment.

13. Security; Administrative Controls; Incident Handling

Applied Signals will maintain a commercially reasonable information security program appropriate for the nature of the Services and Customer Data processed. Security controls may include access controls, authentication, encryption in transit, credential management, logging, monitoring, least-privilege access, backup procedures, vendor review, and administrative safeguards.

Customer is responsible for securely configuring accounts, limiting Authorized User access, maintaining endpoint security, protecting credentials, reviewing integrations, and promptly reporting suspected security incidents.

Applied Signals will notify Customer without undue delay after confirming a Security Incident involving Customer Data, where required by law or contract. Notification may include known information about the nature of the incident, affected systems or data, mitigation steps, and recommended customer actions. Applied Signals’ notification is not an admission of fault or liability.

14. Third-Party Services and Integrations

The Services may interoperate with Third-Party Services such as CRM platforms, calendars, telephony providers, SMS carriers, email providers, payment processors, analytics platforms, hosting providers, AI model providers, and automation tools. Third-Party Services are governed by their own terms, policies, security practices, availability, and pricing.

Customer authorizes Applied Signals to access, exchange, and process data with Third-Party Services as necessary to provide configured integrations. Customer is responsible for obtaining required rights, maintaining third-party accounts, and complying with third-party terms.

Applied Signals is not responsible for failures, delays, errors, data loss, outages, policy changes, or security incidents caused by Third-Party Services, except to the extent directly caused by Applied Signals’ breach of these Terms.

15. Customer Responsibilities

Customer will use the Services in accordance with these Terms, Documentation, applicable Order Forms, and applicable law. Customer is responsible for all activity by Authorized Users and for all decisions made based on the Services.

  • Maintain accurate account, billing, and contact information.
  • Provide complete and accurate Business Data, instructions, and implementation requirements.
  • Obtain and maintain required consents for calls, recordings, messages, Personal Data, and integrations.
  • Review AI Output and operational recommendations before implementation.
  • Avoid submitting Sensitive Data unless expressly permitted.
  • Maintain reasonable internal policies for use of AI, customer communications, privacy, and data security.
  • Cooperate with Applied Signals in onboarding, testing, deployment, troubleshooting, and incident response.

16. Acceptable Use Policy

Customer and Authorized Users must comply with the Acceptable Use Policy in Schedule B. Applied Signals may investigate suspected violations and may suspend access if necessary to protect the Services, Applied Signals, customers, third parties, or the public.

Customer may not use the Services to build, train, benchmark, or improve a competing product or service; to scrape or extract data; to conduct unlawful surveillance; to send unlawful communications; to make high-risk decisions without appropriate human review; or to violate privacy, consumer protection, intellectual property, employment, anti-discrimination, or communications laws.

17. Fees, Taxes, Billing, and Renewal

Fees, usage limits, subscription terms, implementation charges, professional services fees, payment schedules, and renewal terms are set forth in the applicable Order Form. Unless stated otherwise, fees are non-cancelable and non-refundable, payment obligations are irrevocable, and unpaid amounts may accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law.

Customer is responsible for taxes, duties, levies, or similar governmental assessments other than taxes based on Applied Signals’ net income. If Customer is tax-exempt, Customer must provide valid exemption documentation.

If automatic renewal is specified in an Order Form, the subscription will renew for successive terms unless either party gives non-renewal notice within the period stated in the Order Form. Applied Signals may adjust pricing for renewal terms upon reasonable notice unless the Order Form states otherwise.

18. Implementation and Professional Services

Professional Services may include discovery, scoping, configuration, workflow design, AI agent setup, integration, testing, training, documentation, data migration assistance, launch support, optimization, and consulting. Deliverables, assumptions, customer responsibilities, timelines, fees, and acceptance criteria should be described in an Order Form or statement of work.

Customer acknowledges that successful implementation depends on timely access to required systems, accurate information, stakeholder availability, internal adoption, third-party platform readiness, and Customer’s operational decisions. Delays caused by Customer or third parties may affect timelines and fees.

Unless expressly stated in a signed statement of work, Professional Services are performed on a commercially reasonable efforts basis and do not guarantee specific operational, revenue, staffing, conversion, or customer satisfaction outcomes.

19. Support, Availability, and Service Levels

Applied Signals will provide support in accordance with the applicable Order Form, support plan, or Documentation. Support may include email support, ticketing, scheduled meetings, troubleshooting, knowledge base access, or designated account support depending on the plan purchased.

Any uptime commitment, support response target, service credit, maintenance window, escalation procedure, or service level obligation applies only if expressly stated in an Order Form or SLA. Service credits, if any, are Customer’s exclusive remedy for availability failures.

Applied Signals may perform maintenance, updates, patches, configuration changes, and security improvements. Applied Signals will use commercially reasonable efforts to minimize material disruption to active paid Services.

20. Beta, Preview, and Experimental Features

Applied Signals may offer beta, preview, pilot, experimental, early access, or evaluation features. Such features are provided for evaluation only, may be modified or discontinued at any time, may be unsupported, and may be subject to additional terms.

Beta features are provided “as is” without warranties, service level commitments, or indemnities to the maximum extent permitted by law. Customer should not use beta features for production-critical workflows unless expressly authorized in writing.

21. Intellectual Property; Trademarks; Feedback

Applied Signals owns and retains all rights in Applied Signals Materials, including Operational Intelligence™, Operational Execution Platform™, Operational Execution Loop™, Coordination Quotient™, Revenue Unlock Potential™, Operational Coordination Potential™, Customer Experience Potential™, assessment logic, scoring systems, report structures, prompts, workflows, code, configurations, templates, designs, documentation, and related intellectual property.

Customer may use reports and deliverables generated for Customer’s internal business purposes during the applicable term, subject to these Terms and payment of applicable fees. Customer may not publish, resell, license, distribute, or represent Applied Signals scores or reports as independent certifications without written consent.

If Customer provides suggestions, ideas, enhancement requests, recommendations, corrections, or other feedback, Customer grants Applied Signals a perpetual, irrevocable, worldwide, royalty-free license to use it without restriction or compensation. Feedback does not include Customer Data.

22. Marketing, Testimonials, and Publicity

Applied Signals may identify Customer as a customer only if permitted in an Order Form, written approval, or applicable publicity consent. Any case study, testimonial, logo use, public metrics, or press release requires Customer approval unless otherwise agreed.

Customer will ensure that any testimonials, reviews, endorsements, or public statements it provides are truthful, accurate, not misleading, and compliant with applicable advertising and endorsement laws. Applied Signals may remove or decline to use any testimonial or endorsement at its discretion.

23. Privacy Policy and Data Protection Documents

The Applied Signals Privacy Policy describes how Applied Signals collects, uses, and discloses Personal Data in connection with the website and Services. The Privacy Policy is incorporated by reference into these Terms for website visitors and users.

If Applied Signals processes Personal Data on Customer’s behalf as a processor or service provider, the parties may enter into a Data Processing Addendum. The DPA framework in Schedule E provides a procurement-ready starting point and may be supplemented by customer-specific terms where appropriate.

24. Compliance with Laws; Export Controls; Sanctions

Each party will comply with laws applicable to its performance under these Terms. Customer is solely responsible for laws applicable to Customer’s industry, business operations, communications, recordings, customer interactions, marketing, employment practices, professional licensing, and use of AI Output.

Customer may not use the Services in violation of U.S. export control laws, sanctions, embargoes, or restricted-party rules. Customer represents that it is not located in, organized under the laws of, or ordinarily resident in a country or territory subject to comprehensive U.S. sanctions and is not on any restricted-party list.

25. Warranties and Disclaimers

Each party represents that it has authority to enter into these Terms. Applied Signals warrants that Professional Services will be performed in a professional and workmanlike manner. Customer’s exclusive remedy for breach of this warranty is re-performance of nonconforming Professional Services or, if re-performance is not commercially reasonable, a refund of the fees paid for the nonconforming Professional Services.

Except as expressly stated, the Services, website, AI Output, assessments, reports, beta features, and Third-Party Services are provided “as is” and “as available.” Applied Signals disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, reliability, availability, uninterrupted operation, error-free operation, and any warranties arising from course of dealing, usage, or trade practice.

Applied Signals does not warrant that the Services will produce any particular financial result, revenue recovery, ROI, staffing reduction, customer satisfaction improvement, conversion rate, operational outcome, compliance outcome, or error-free AI Output.

26. Limitation of Liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, enhanced, or punitive damages; loss of profits, revenue, goodwill, data, business opportunity, or anticipated savings; or cost of substitute services, even if advised of the possibility of such damages.

Except for excluded claims, each party’s total aggregate liability arising out of or relating to these Terms will not exceed the amounts paid or payable by Customer to Applied Signals under the applicable Order Form during the twelve (12) months preceding the event giving rise to liability.

Excluded claims may include payment obligations, misuse of intellectual property, confidentiality breaches, indemnification obligations, and gross negligence or willful misconduct, to the extent such exclusions are enforceable under applicable law. For website-only users with no paid Order Form, Applied Signals’ aggregate liability will not exceed one hundred U.S. dollars (US$100).

27. Indemnification

Customer will defend, indemnify, and hold harmless Applied Signals and its Affiliates, officers, directors, employees, contractors, and agents from third-party claims arising out of or relating to Customer Data, Customer’s use of the Services, Customer’s violation of law, Customer’s failure to obtain consents, Customer’s communications or recordings, Customer’s products or services, or Customer’s breach of these Terms.

Applied Signals will defend Customer against third-party claims alleging that the paid Services, as provided by Applied Signals and used in accordance with these Terms, directly infringe a U.S. patent, copyright, or trademark, or misappropriate a trade secret, and will pay damages finally awarded or settlements approved by Applied Signals. Applied Signals has no obligation for claims arising from Customer Data, modifications not made by Applied Signals, combination with non-Applied Signals products, use beyond the scope of these Terms, beta features, or Third-Party Services.

The indemnified party must promptly notify the indemnifying party, provide reasonable cooperation, and allow the indemnifying party control of the defense and settlement, provided that no settlement may impose non-monetary obligations or admissions on the indemnified party without consent.

28. Suspension and Termination

Applied Signals may suspend access to the Services if Customer fails to pay undisputed amounts when due, creates security risk, violates the Acceptable Use Policy, uses the Services unlawfully, or materially breaches these Terms. Applied Signals will use commercially reasonable efforts to provide notice and an opportunity to cure where practicable.

Either party may terminate an Order Form for material breach if the breach is not cured within thirty (30) days after written notice, or sooner where cure is not possible. Applied Signals may terminate website access at any time for violation of these Terms.

Termination does not relieve Customer of payment obligations incurred before termination. Sections intended by their nature to survive will survive, including confidentiality, intellectual property, payment, disclaimers, limitations of liability, indemnification, governing law, and miscellaneous provisions.

29. Effects of Termination; Data Return and Deletion

Upon termination or expiration, Customer’s right to access the affected Services ends. Upon request made within thirty (30) days after termination, Applied Signals will make commercially reasonable efforts to provide export or return of Customer Data in a standard format, subject to technical feasibility, legal requirements, payment of outstanding amounts, and applicable fees.

After the export period, Applied Signals may delete Customer Data from active systems in accordance with its retention policies, except that copies may remain in backups, archives, logs, security records, legal files, or de-identified datasets until deleted in the ordinary course.

Applied Signals is not required to delete de-identified data, aggregated data, security logs, billing records, legal records, or information retained to comply with law, resolve disputes, enforce agreements, or maintain security.

30. Dispute Resolution; Governing Law; Venue

These Terms and any dispute arising out of or relating to them are governed by the laws of the State of Delaware, without regard to conflict-of-law rules and excluding the United Nations Convention on Contracts for the International Sale of Goods.

Before filing a claim, the parties will attempt in good faith to resolve disputes informally for at least thirty (30) days after written notice describing the dispute. Executive escalation may be required before litigation where both parties are businesses and an Order Form is in effect.

Unless an Order Form states otherwise, any non-small-claims dispute will be brought exclusively in the state or federal courts located in Delaware, and each party consents to personal jurisdiction and venue there. Each party waives any right to a jury trial to the extent permitted by law. Claims must be brought on an individual basis, and the parties waive participation in class, collective, consolidated, or representative actions to the extent permitted by law.

Either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect intellectual property, Confidential Information, or data security.

31. Notices

Notices to Applied Signals must be sent to support@appliedsignals.ai and to any legal notice address stated in an Order Form. Notices to Customer may be sent to the account email, administrator email, billing contact, or address in the applicable Order Form. Notices are deemed given when delivered, or if by email, when sent without bounce-back, unless applicable law requires another method.

32. Government Customers

The Services and Documentation are commercial items developed at private expense. If Customer is a U.S. government entity or contractor, the Services are provided with only the rights granted to other customers under these Terms unless a written agreement signed by Applied Signals states otherwise.

33. Miscellaneous

These Terms, together with Order Forms, the Privacy Policy, any DPA, schedules, and incorporated policies, constitute the entire agreement between the parties regarding the Services and supersede prior or contemporaneous agreements on the same subject. No waiver is effective unless in writing and signed by the waiving party. If any provision is unenforceable, it will be modified to the minimum extent necessary and the remaining provisions will remain effective.

Customer may not assign these Terms without Applied Signals’ prior written consent, except to a successor in connection with a merger, acquisition, corporate reorganization, or sale of substantially all assets, provided the assignee is not a competitor and assumes all obligations. Applied Signals may assign these Terms in connection with a merger, acquisition, financing, corporate reorganization, or sale of assets.

The parties are independent contractors. These Terms do not create a partnership, franchise, joint venture, agency, fiduciary, or employment relationship. Neither party is liable for delay or failure to perform due to causes beyond reasonable control, including acts of God, labor disputes, internet failures, carrier outages, cyberattacks, war, terrorism, civil unrest, government action, supply chain failures, or third-party service outages.

Schedule A. Website-Specific Terms

This Schedule applies to visitors who access the Applied Signals website, submit forms, request demos, download resources, or otherwise interact with Applied Signals online.

A1. Contact Forms and Demo Requests

By submitting a contact form, demo request, assessment intake, newsletter signup, or similar form, you represent that the information is truthful, accurate, complete, and that you are authorized to provide it. You authorize Applied Signals and its representatives to contact you regarding your inquiry, products, services, events, resources, and related business communications.

A2. Communications Consent

You agree that Applied Signals may contact you by phone, email, SMS/MMS, voicemail, AI-generated voice, prerecorded message, or automated system at the contact information you provide, subject to applicable law. Consent is not a condition of purchase. Standard message and data rates may apply. You may opt out of marketing messages by following unsubscribe instructions, replying STOP where supported, or contacting Applied Signals.

A3. Recording and Monitoring

Demo calls, support calls, sales calls, and other communications may be recorded or monitored for quality assurance, training, product improvement, documentation, and legitimate business purposes, subject to applicable law. If you do not consent to recording, notify the Applied Signals representative or do not proceed with the call.

A4. Website Content

Website content is provided for general informational purposes only. Applied Signals may update or remove website content at any time. References to potential outcomes, examples, case studies, benchmarks, or representative metrics are illustrative and not guarantees.

Schedule B. Acceptable Use Policy

Customer and Authorized Users must not use the Services to:

  • Violate any law, regulation, contract, privacy right, intellectual property right, or third-party right.
  • Submit, store, transmit, or generate malicious code, spam, phishing, deceptive content, unlawful marketing, or abusive communications.
  • Reverse engineer, decompile, disassemble, scrape, crawl, benchmark for competitive purposes, or attempt to derive source code, models, prompts, workflows, algorithms, or underlying logic.
  • Use the Services for surveillance, discrimination, harassment, harmful profiling, unlawful employment decisions, credit determinations, housing determinations, insurance eligibility, medical decisions, legal determinations, or other high-impact decisions without appropriate legal basis and human review.
  • Upload Sensitive Data unless expressly authorized in writing.
  • Interfere with the integrity, performance, security, or availability of the Services.
  • Exceed usage limits, bypass access controls, share credentials, or resell the Services without authorization.
  • Misrepresent AI Output as human-generated where disclosure is legally required, or use AI Output deceptively.
  • Use the Services to create or improve competing products or services.

Applied Signals may remove content, restrict features, throttle usage, suspend access, or terminate accounts if it reasonably believes this policy has been violated or that continued access creates risk.

Schedule C. AI Transparency and Responsible Use Addendum

Applied Signals uses AI to support operational analysis, workflow recommendations, communication automation, scoring, transcription, summarization, and reporting. The goal is to enhance business judgment, not replace it.

C1. Human Oversight

Customer is responsible for determining the level of human review required before AI Output is used in customer communications, staffing decisions, pricing, legal compliance, safety-related decisions, or other material business actions. Applied Signals may configure review workflows, flags, or approvals where requested or required.

C2. Accuracy and Validation

AI systems may produce inaccurate, incomplete, or unexpected results. Applied Signals encourages validation, monitoring, escalation procedures, testing, and feedback loops before and after deployment.

C3. Prohibited Reliance

AI Output must not be relied upon as professional advice, emergency instructions, legal determination, final financial determination, employment decision, or substitute for qualified professional judgment.

C4. AI Training and Customer Data

Unless expressly authorized by Customer, Applied Signals will not use Customer’s identifiable operational data to train public AI models. Applied Signals may process Customer Data through AI providers to deliver Services and may use de-identified or aggregated data as permitted in these Terms.

Schedule D. Security Overview

This Security Overview summarizes baseline controls. It is not a guarantee against all threats and may evolve as Applied Signals grows.

  • Access control: role-based access where available, least-privilege principles, credential management, and administrative controls.
  • Encryption: use of encrypted transport such as HTTPS/TLS where appropriate.
  • Monitoring: logging, monitoring, and investigation of suspicious activity where commercially reasonable.
  • Vendors: use of reputable providers for hosting, AI processing, communications, CRM, analytics, and infrastructure, with reasonable vendor review.
  • Backups and continuity: commercially reasonable backup and restoration procedures for applicable production systems.
  • Incident response: internal escalation, investigation, containment, remediation, and customer notification where legally or contractually required.
  • Personnel: confidentiality obligations and access restrictions for personnel with access to Customer Data.

Enterprise customers may request additional security documentation, questionnaires, or contractual controls. Applied Signals may require a separate security addendum for enhanced commitments.

Schedule E. Data Processing Addendum Framework

This framework is intended to support enterprise procurement when Applied Signals processes Personal Data on Customer’s behalf. A final DPA should be reviewed and signed separately where required.

E1. Roles

Customer is generally the controller or business for Personal Data it submits, and Applied Signals is generally the processor or service provider when processing such data on Customer’s behalf, except where Applied Signals acts as an independent controller for account administration, billing, security, legal compliance, or marketing.

E2. Processing Instructions

Applied Signals will process Personal Data according to Customer’s documented instructions, these Terms, applicable Order Forms, the Privacy Policy, and applicable law.

E3. Subprocessors

Customer authorizes Applied Signals to use subprocessors for hosting, communications, analytics, AI processing, support, CRM, payments, security, and related business operations. Applied Signals will remain responsible for subprocessors as required by applicable law and will impose appropriate confidentiality and data protection obligations.

E4. Assistance and Deletion

Applied Signals will provide commercially reasonable assistance with data subject requests, security obligations, breach notifications, and deletion or return of Personal Data, taking into account the nature of processing and information available.

E5. International Transfers

Where required, the parties will implement lawful transfer mechanisms such as standard contractual clauses, transfer risk assessments, or other approved safeguards.

Schedule F. Service Level and Support Framework

This framework describes support and service level concepts that may be included in an Order Form. It does not create binding uptime commitments unless specific commitments are stated in an Order Form.

  • Standard support: email or ticket-based support during business hours.
  • Priority support: faster response targets for designated plans.
  • Critical issues: production outage or material security issue affecting core paid Services.
  • Maintenance: scheduled or emergency maintenance may occur to protect or improve the Services.
  • Service credits: only available if expressly stated in an Order Form or SLA and are the exclusive remedy for availability failures.

Schedule G. Order Form Guide

Order Forms should clearly state the commercial and operational terms for each customer engagement. Typical forms may include, but are not limited to:

  • Customer legal name and billing contact.
  • Applied Signals legal entity and notice contact.
  • Services purchased and included modules.
  • Subscription start date, initial term, renewal term, and non-renewal deadline.
  • Implementation scope, milestones, dependencies, assumptions, and customer responsibilities.
  • Fees, payment schedule, usage charges, taxes, and late payment terms.
  • Usage limits such as minutes, messages, assessments, seats, workflows, locations, or integrations.
  • Support plan, service levels, and escalation contacts.
  • Data processing terms, security addendum, and subprocessor documentation if required.
  • Special terms, exclusions, or customer-specific commitments.
